Terms of Service
These Terms of Service ("Terms") govern access to and use of GoLiveFlow, including the website at goliveflow.com and the GoLiveFlow application (collectively, the "Service"). The Service is provided by Full Circle Solutions LLC ("GoLiveFlow," "we," "us," or "our").
By creating an account, accepting an order form that incorporates these Terms, clicking to accept these Terms, or accessing or using the Service, you agree to be bound by these Terms. If you use the Service on behalf of a company or other organization, you represent that you have authority to bind that organization, and "you" and "Customer" refer to that organization.
If you do not agree to these Terms, do not access or use the Service.
1. Eligibility and Accounts
You must be at least 18 years old and legally capable of entering into a binding agreement to create an account or purchase the Service.
You are responsible for:
- providing accurate account and billing information;
- maintaining the confidentiality and security of account credentials;
- activity occurring through your account and users you authorize;
- promptly notifying us if you become aware of unauthorized access or use; and
- ensuring that your users comply with these Terms.
You may authorize employees, contractors, and other personnel to use the Service on your behalf, subject to the limits of your subscription.
GoLiveFlow may also permit Customer clients, stakeholders, or other contacts to access designated portions of the Service, including the Client Portal, through invitations or magic links. Customer is responsible for determining whom it invites and for having the legal right to provide their information to GoLiveFlow.
2. The Service
GoLiveFlow is a software platform designed to support client onboarding, software implementation, project delivery, and related professional-services workflows. Depending on the applicable plan and features made available, the Service may include project management, templates and playbooks, client portals, workflow automation, analytics, resource management, financial or project tracking, integrations, electronic approvals, and AI-assisted functionality.
We may improve, modify, add, replace, or discontinue features from time to time. We will not intentionally make a material reduction to the core functionality of a paid Service during a then-current paid subscription term without reasonable notice, except where a change is required for security, legal, regulatory, third-party dependency, or technical reasons.
The Service is not an accounting, legal, tax, financial, or other professional advisory service, and information generated or stored in the Service should not be treated as professional advice.
3. Subscription Plans, Trials, and Billing
3.1 Plans and Pricing
Available plans, included features, usage limits, seat requirements, and pricing are described on our pricing page, in the Service, or in an applicable order form. We may change pricing or plan structures prospectively. Pricing changes for an existing paid subscription will take effect no earlier than the next applicable renewal period unless you agree otherwise.
If an order form or other written agreement signed by GoLiveFlow and Customer conflicts with these Terms, the signed agreement controls to the extent of the conflict.
3.2 Free Trials
We may offer free trials or promotional access. Trial duration, included functionality, and any post-trial restrictions will be disclosed when the trial is offered.
Unless you affirmatively select a paid subscription or otherwise authorize a charge, a no-credit-card free trial will not automatically result in a paid charge. At the end of a trial, access may be limited, downgraded, or suspended in accordance with the terms presented with the trial.
3.3 Recurring Subscriptions
Paid subscriptions renew automatically for successive billing periods unless canceled before the next renewal date, except where an order form states otherwise.
By purchasing a recurring subscription, you authorize us and our payment processor to charge the applicable subscription fees, taxes, and other authorized charges to your selected payment method for each billing period until cancellation.
You may cancel through the cancellation functionality made available in your account or by contacting us. Cancellation stops future renewals and does not terminate access already paid for; unless otherwise stated, paid access continues through the end of the current billing period.
3.4 Seats and Usage
Subscription charges may depend on the number of paid seats, usage, plan, or other metrics identified at purchase. You are responsible for charges resulting from seats or services authorized through your account.
Client Portal contacts do not count as paid seats where the applicable plan identifies them as free or unlimited.
3.5 Upgrades and Downgrades
Plan upgrades may take effect immediately and may result in prorated charges or credits as displayed at the time of the change.
Downgrades normally take effect at the end of the current paid billing period unless otherwise stated. A downgrade may reduce access to features, usage limits, storage, integrations, or other functionality. We will not intentionally delete Customer Data solely because of a plan downgrade without providing a reasonable opportunity to export or retrieve data, subject to Section 12.
3.6 Payment Failure
If payment cannot be completed, we may retry the payment method and notify the account owner. We may restrict or suspend paid functionality if an amount remains unpaid. Where reasonably practicable, we will provide notice and an opportunity to cure before suspending an account for nonpayment.
3.7 Refunds
Except where required by law or expressly stated in an applicable order form, fees already paid are non-refundable. Cancellation prevents future renewal charges but does not create a refund for the unused portion of a current billing period.
3.8 Taxes
Fees are exclusive of applicable sales, use, value-added, withholding, or similar taxes unless expressly stated otherwise. Customer is responsible for applicable taxes other than taxes based on our net income.
4. Customer Data
"Customer Data" means information, files, project records, communications, documents, contact information, and other data submitted to, stored in, or transmitted through the Service by or on behalf of Customer or its users and invited contacts.
As between Customer and GoLiveFlow, Customer retains its ownership rights in Customer Data.
Customer grants GoLiveFlow a non-exclusive, worldwide, limited right to host, copy, transmit, process, display, and otherwise use Customer Data as reasonably necessary to provide, secure, maintain, support, and improve the Service; comply with law; prevent fraud or abuse; and perform our obligations to Customer.
Customer represents and warrants that it has all rights, permissions, notices, and consents reasonably necessary for GoLiveFlow to process Customer Data as contemplated by these Terms and our Privacy Policy.
Customer is responsible for the legality, accuracy, quality, and content of Customer Data and for determining whether the Service is appropriate for the data Customer chooses to submit.
Our collection and use of personal information is further described in the GoLiveFlow Privacy Policy. Where required for a particular Customer, the parties may enter into a separate Data Processing Addendum ("DPA").
5. Confidentiality
Each party may receive non-public information from the other that is identified as confidential or that reasonably should be understood to be confidential given its nature and the circumstances of disclosure ("Confidential Information").
The receiving party will use reasonable care to protect Confidential Information and will use it only as necessary to perform or exercise its rights under the parties' relationship.
Confidential Information does not include information that the receiving party can demonstrate:
- is or becomes publicly available without breach of an obligation;
- was lawfully known without confidentiality restriction before disclosure;
- is received lawfully from a third party without confidentiality restriction; or
- is independently developed without use of the other party's Confidential Information.
A party may disclose Confidential Information where required by law, subpoena, or court order, and where legally permitted will provide reasonable notice to the other party.
Customer Data is Customer Confidential Information.
6. AI-Assisted Features
The Service may include AI-assisted functionality ("GoLive AI"), which may use third-party artificial intelligence providers to process information submitted to the feature and generate summaries, recommendations, risk indicators, status information, natural-language responses, or other output.
AI-generated output can be inaccurate, incomplete, misleading, or unsuitable for a particular purpose. You are responsible for reviewing AI-generated output before relying on or using it.
GoLive AI is intended to assist users and does not replace professional judgment or human review. GoLiveFlow does not guarantee the accuracy of AI-generated output or any project, financial, implementation, or business outcome.
Availability, providers, models, functionality, and usage limits for AI features may change over time. Applicable limits may vary by plan and will be described in the Service or applicable plan materials.
7. Electronic Approvals and Signatures
The Service may allow users or invited contacts to approve tasks, documents, milestones, or other items electronically, including through typed names, electronic acknowledgments, timestamps, IP information, browser information, or audit trails.
You agree that electronic records, approvals, and signatures may be used in connection with the Service to the extent permitted by applicable law.
Customer is responsible for determining whether a particular electronic approval or signature method is legally sufficient for Customer's intended use. GoLiveFlow does not provide legal advice and does not warrant that a particular approval workflow satisfies every signature, notarization, record-retention, or evidentiary requirement.
8. Third-Party Services and Integrations
The Service may interoperate with third-party products and services, including integration, communications, calendar, CRM, automation, payment, hosting, analytics, and AI providers.
Your use of a third-party service is governed by your agreement with that provider. We do not control and are not responsible for third-party services, including their availability, security, functionality, data handling, acts, or omissions.
If you enable an integration, you authorize GoLiveFlow to exchange Customer Data with the applicable third-party service as necessary to provide the integration.
We may add, replace, or discontinue third-party integrations when necessary.
9. Acceptable Use
You will not, and will not permit others to:
- use the Service in violation of applicable law or the rights of another person;
- access or attempt to access another customer's account, data, or systems without authorization;
- bypass or defeat authentication, security controls, usage restrictions, or rate limits;
- probe, scan, or test vulnerabilities except with our prior written authorization;
- introduce malware, malicious code, or harmful content;
- interfere with or disrupt the integrity, security, or operation of the Service;
- use automated means to extract or scrape the Service except through interfaces we expressly provide for that purpose;
- reverse engineer, decompile, disassemble, or attempt to discover source code or underlying non-public technology except to the limited extent such restriction is prohibited by applicable law;
- copy, sell, sublicense, rent, lease, or commercially resell access to the Service except as expressly authorized by us;
- use the Service or non-public outputs of the Service to develop or train a substantially competing product or service; or
- use the Service to transmit unlawful, infringing, fraudulent, abusive, or malicious material.
We may investigate suspected violations and take reasonable action to protect the Service, our customers, and third parties.
10. Intellectual Property
GoLiveFlow, the Service, its software, user interfaces, designs, documentation, workflows, features, branding, and related technology are owned by Full Circle Solutions LLC or its licensors and are protected by applicable intellectual-property laws.
Subject to these Terms and payment of applicable fees, we grant Customer a limited, non-exclusive, non-transferable, non-sublicensable right during the applicable subscription term to access and use the Service for Customer's internal business purposes.
Except for Customer Data, no ownership rights are transferred to Customer.
If you voluntarily provide feedback, ideas, or suggestions regarding the Service, you grant us the right to use them without restriction or obligation to you, provided we do not identify you publicly as the source without permission.
11. Security
We will maintain reasonable administrative, technical, and organizational safeguards designed to protect Customer Data against unauthorized access, use, alteration, or disclosure.
No online service can guarantee absolute security. Customer is responsible for using appropriate account controls, maintaining secure credentials, managing user access, and promptly removing access for users who should no longer have it.
Security commitments in a separately executed agreement, if any, will control over this section to the extent of a conflict.
12. Suspension, Cancellation, and Termination
You may cancel a paid subscription as described in Section 3.
We may suspend or restrict access to the Service if reasonably necessary to:
- address a material violation of these Terms;
- address nonpayment;
- prevent or mitigate a security incident, fraud, unlawful activity, or harm to the Service or others;
- comply with law or a governmental request; or
- address use that creates a material risk to the Service.
Where circumstances reasonably permit, we will provide notice and an opportunity to cure before suspending or terminating an account for breach.
Either party may terminate an applicable agreement for a material breach that remains uncured after reasonable written notice, unless the breach cannot reasonably be cured.
Following expiration or termination, Customer may request or perform an export of available Customer Data during any export period made available by the Service. Unless a longer period is required by law or agreed in writing, we may delete Customer Data beginning 90 days after account termination or expiration. Backup copies may remain for a limited additional period as part of normal backup and disaster-recovery processes and will remain subject to applicable protections until deleted.
We may retain information where required by law or reasonably necessary to establish, exercise, or defend legal claims, prevent fraud, resolve disputes, or enforce agreements.
13. Service Availability
We aim to provide a reliable Service, but the Service may occasionally be unavailable because of maintenance, updates, third-party failures, security events, internet or infrastructure problems, force majeure events, or circumstances outside our reasonable control.
Unless expressly provided in a separate written service-level agreement, we do not guarantee uninterrupted or error-free availability or any particular uptime percentage.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL RELATED CONTENT, FUNCTIONALITY, AI OUTPUT, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE."
GOLIVEFLOW AND FULL CIRCLE SOLUTIONS LLC DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETELY SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT DATA, REPORTS, ANALYTICS, AUTOMATIONS, AI OUTPUT, OR OTHER RESULTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR A PARTICULAR PURPOSE.
SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
15. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER GOLIVEFLOW, FULL CIRCLE SOLUTIONS LLC, NOR THEIR OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, USE, OR DATA, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF GOLIVEFLOW AND FULL CIRCLE SOLUTIONS LLC ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS PAID OR PAYABLE BY CUSTOMER TO GOLIVEFLOW FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100) IF CUSTOMER HAS NOT PAID GOLIVEFLOW FOR THE SERVICE.
THE LIMITATIONS IN THIS SECTION APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, REGARDLESS OF THE FORM OR THEORY OF LIABILITY, AND EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Nothing in these Terms limits liability to the extent it cannot lawfully be limited or excluded.
16. Indemnification
Customer will defend, indemnify, and hold harmless Full Circle Solutions LLC, GoLiveFlow, and their officers, directors, employees, contractors, and affiliates from and against third-party claims, damages, losses, liabilities, judgments, costs, and reasonable attorneys' fees arising out of or relating to:
- Customer Data or Customer's unlawful processing or submission of Customer Data;
- Customer's or its users' violation of these Terms;
- Customer's use of the Service in violation of applicable law or a third party's rights; or
- Customer's products, services, projects, communications, or business activities conducted using the Service.
We will provide reasonable notice of an indemnified claim and reasonable cooperation, at Customer's expense. Customer may control the defense and settlement, provided Customer may not settle a claim in a manner that admits fault by, imposes non-monetary obligations on, or requires payment by an indemnified GoLiveFlow party without our prior written consent.
17. Governing Law and Disputes
These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of Arizona, without regard to conflict-of-law principles.
Except where applicable law requires otherwise, the state and federal courts located in Maricopa County, Arizona will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, and each party consents to personal jurisdiction and venue in those courts.
Before filing a lawsuit, the parties agree to make a good-faith effort to resolve the dispute informally. A party initiating a dispute should provide written notice describing the issue and requested resolution. If the dispute is not resolved within 30 days after receipt of that notice, either party may pursue available legal remedies.
Nothing in this section prevents either party from seeking temporary, preliminary, or injunctive relief where reasonably necessary to protect intellectual property, confidential information, data, account security, or the integrity of the Service.
18. Compliance With Laws
Each party is responsible for complying with laws applicable to its own activities under these Terms.
Customer will not use the Service in violation of applicable export-control, sanctions, anti-corruption, privacy, communications, or other laws.
19. Changes to These Terms
We may update these Terms from time to time.
For material changes, we will provide reasonable notice, which may include email to the primary account contact or notice within the Service. Unless a different effective date is stated, updated Terms become effective when posted.
If a material change significantly affects an existing paid subscription during its current billing period, the change will apply prospectively to the extent required by applicable law.
Continued use of the Service after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.
20. General Terms
20.1 Entire Agreement
These Terms, the Privacy Policy, any applicable order form, DPA, and other written terms expressly incorporated by reference constitute the agreement between the parties concerning the Service and supersede prior or contemporaneous understandings regarding the same subject matter.
20.2 Assignment
Customer may not assign or transfer these Terms without our prior written consent, except in connection with a merger, reorganization, or sale of substantially all assets relating to Customer's use of the Service, provided the assignee agrees to be bound by these Terms.
We may assign these Terms in connection with a merger, acquisition, corporate reorganization, financing, sale of assets, or transfer of the Service or our business.
20.3 Severability
If any provision of these Terms is held unenforceable, the remaining provisions will remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted by law.
20.4 Waiver
A failure to enforce a provision of these Terms is not a waiver of the right to do so later.
20.5 No Agency
These Terms do not create a partnership, joint venture, employment, fiduciary, franchise, or agency relationship between Customer and GoLiveFlow.
20.6 Force Majeure
Neither party will be liable for delay or failure to perform caused by events beyond its reasonable control, except for payment obligations.
20.7 Notices
We may provide operational or legal notices by email to the primary email address associated with your account, through the Service, or by posting where appropriate.
Legal notices to GoLiveFlow should be sent via our contact form.
20.8 No Third-Party Beneficiaries
Except for parties expressly entitled to indemnification under these Terms, these Terms do not create third-party beneficiary rights.
